Terms of Service

1. Preamble and Purpose

These Terms of Service (hereinafter "ToS") are entered into between Marketing Ops, a simplified joint-stock company (SAS) with a share capital of 1,000 euros, registered with the Paris Trade Registry under number 995 103 637, with registered office at 229 rue Saint-Honoré, 75001 Paris (hereinafter "the Publisher" or "ReelsAI"), and any natural or legal person wishing to access and use the ReelsAI platform (hereinafter "the User").

ReelsAI is a Software as a Service (SaaS) platform enabling automated generation of marketing content using artificial intelligence. The Service allows creating images, texts (posts) and videos optimized for social media (Instagram, TikTok, LinkedIn, X, Facebook, Pinterest, YouTube Shorts). These ToS define the terms and conditions of use of the Service, as well as the rights and obligations of the parties.

Access to the Service, whether free or paid, implies full and complete acceptance of these ToS by the User. Failing acceptance, the User must refrain from using the Service.

1bis. Scope of Application

1bis.1 Consumer User

A Consumer User is any natural person acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, liberal, or agricultural activity.

1bis.2 Professional User

A Professional User is any natural or legal person, public or private, acting for purposes within the scope of their professional activity.

1bis.3 Applicable Regime

Clauses identified by the mention "[B2B only]" apply only to Professional Users. Consumer Users benefit from the mandatory protections of consumer law.

2. Definitions

The terms defined below shall have the following meaning within these ToS, whether used in singular or plural:

• Service: All features of the ReelsAI platform accessible via the miraceti.ai website, including content generation by artificial intelligence.
• User: Any natural person aged at least 18 years or any legal entity, having created an Account and using the Service.
• Account: The User's personal space created during registration, allowing access to the Service.
• Content: Any element generated by the Service (videos, images, texts) or provided by the User (prompts, source media).
• Credits: Unit of Service consumption, debited for each Content generation according to the applicable pricing schedule.
• Subscription: Monthly or annual subscription formula providing access to the Service and granting a monthly volume of Credits.
• Source Content: Any element (text, image, video) provided by the User for Content generation.
• Artificial Intelligence (AI): Machine learning and natural language processing technologies used by the Service to generate Content.
• Consumer User: Any natural person not acting for professional purposes.
• Professional User: Any person acting within the scope of their professional activity.
• Hallucination: Generation by AI of factually incorrect information presented as true.
• Deepfake: Synthetic audiovisual content realistically representing persons without their consent.
• Synthetic Content: Any content generated or modified by artificial intelligence systems.

3. Registration and User Account

3.1 Eligibility Requirements

Registration for the Service is reserved for natural persons aged at least 18 years with full legal capacity, or for duly represented legal entities. Minors are not authorized to use the Service.

3.2 Account Creation

The User agrees to provide accurate, complete, and up-to-date information during registration. Any registration based on false or inaccurate information may result in immediate suspension or termination of the Account without notice or compensation.

3.3 Account Security

The User is solely responsible for the confidentiality of their login credentials. They agree to immediately notify ReelsAI of any unauthorized use of their Account or any security breach. ReelsAI shall not be held liable for consequences resulting from fraudulent use of the Account by a third party.

3.4 Account Uniqueness

Each User may only have one Account. Creating multiple accounts to benefit multiple times from the free offer or to circumvent Service limitations is strictly prohibited and constitutes a serious breach of these ToS.

4. Service Description

4.1 Features

ReelsAI provides an automated marketing content generation service using artificial intelligence, including: short video generation, image generation, and text generation for social media.

4.2 Subscription Plans

The Service is offered under different plans (Discovery, Essential, Growth, Agency), each including a specific number of monthly Credits and specific features. Plan details, pricing and Credit allocations are available on the Pricing page of the Website and are subject to change in accordance with section 5bis.

4.3 Service Evolution

ReelsAI reserves the right to evolve Service features, add new ones or remove some, subject to prior notification to Users for substantial modifications affecting their Subscription.

5. Pricing and Credit System

5.1 Credit Costs

Each Content generation consumes a variable number of Credits depending on the type and complexity of the Content. The detailed pricing schedule is available below and is subject to modification. Price changes take effect immediately for new generations.

5.2 Credit Allocation and Validity

Credits are allocated monthly according to the subscribed Subscription plan. Unused Credits at the end of each monthly period are permanently lost and are not subject to any rollover or refund.

5.3 Non-transferability

Credits are strictly personal and non-transferable. They may not be sold, exchanged, or transferred to third parties.

5bis. Pricing Modifications

5bis.1 Right to Modify

ReelsAI reserves the right to modify at any time the Subscription prices, the number of Credits included, and the Credit cost for different generations.

5bis.2 Prior Notice

Any pricing modification will be communicated by email at least thirty (30) days before it takes effect.

5bis.3 Application

Modifications apply immediately to new Users. For existing Users, they take effect at the next Subscription renewal.

5bis.4 Right to Terminate

Users who refuse the new pricing conditions may terminate their Subscription without penalty before they take effect.

6. Payment and Billing

6.1 Payment Methods

Payments are made by credit card through our secure payment provider LemonSqueezy. The User warrants that they are the legitimate holder of the card used or have the necessary authorizations to use it.

6.2 Automatic Renewal

Monthly Subscriptions are automatically renewed on each anniversary date, unless cancelled by the User before that date. The User will be automatically charged the Subscription amount at each renewal.

6.3 Annual Commitment

When subscribing to an annual Subscription, the User commits for a fixed period of twelve (12) months. No early termination is possible during this commitment period, except for legitimate reasons provided by law. The pricing advantage granted is consideration for this commitment.

6.4 No Refunds

No refund, even partial, will be granted for unused Subscription periods or in case of early termination (except for exercise of withdrawal right). Remaining Credits at the time of termination are permanently lost.

6.5 Invoicing

Billing is managed by our payment provider LemonSqueezy. An invoice is issued for each payment.

7. Right of Withdrawal

7.1 Principle

In accordance with Articles L.221-18 et seq. of the French Consumer Code, the consumer User has in principle a period of fourteen (14) days from subscribing to a Subscription to exercise their right of withdrawal, without having to justify reasons or pay penalties.

7.2 Exception for Digital Content

However, pursuant to Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not provided on a tangible medium whose execution has begun after prior express consent of the consumer and express waiver of their right of withdrawal.

7.3 Waiver

By using Credits to generate Content, the User acknowledges that execution of the Service has begun with their express consent and thereby expressly waives their right of withdrawal for consumed Credits. The User is informed of this upon first use and accepts this waiver.

7.4 Withdrawal on Unused Credits

The User who has not consumed any Credits may exercise their right of withdrawal within the 14-day period. To do so, they must send their request by email to contact@miracetiparis.com clearly indicating their intention to withdraw. The refund will be made within 14 days of the request.

8. Intellectual Property

8.1 ReelsAI Rights

All elements constituting the ReelsAI platform (source code, algorithms, architecture, design, trademarks, logos, texts, documentation) are protected by intellectual property law and remain the exclusive property of the Publisher. Any unauthorized reproduction, representation, modification, or exploitation is strictly prohibited.

8.2 Rights to Generated Content

The User retains full intellectual property rights over Content generated by the Service from their prompts. They are free to use, modify, reproduce, and commercialize them without restriction, subject to compliance with applicable laws and third-party rights.

8.3 License Granted to ReelsAI

The User grants ReelsAI a worldwide, non-exclusive, free, and transferable license to use Generated Content and Source Content exclusively for the following purposes: Service operation, AI algorithm improvement, and display in the User's portfolio on the platform.

8.4 Source Content

The User warrants that they hold all necessary rights to Source Content they provide for Content generation. They indemnify ReelsAI against any third-party claims related to such Source Content.

8.5 AI Content Specificities

8.5.1 Legal Nature

AI-generated Content may not benefit from copyright protection in the absence of sufficient human creative intervention.

8.5.2 No Exclusivity Guarantee

ReelsAI does not guarantee that Content is unique. Similar prompts may generate comparable Content.

8.5.3 License for Improvement

The User grants ReelsAI a perpetual license to use prompts and Content (anonymized) for the purpose of improving AI models and the Service.

9. User Obligations - AI Usage Rules

The User agrees to use the Service responsibly and ethically. They are solely responsible for Content they generate and Source Content they provide.

9.1 General Prohibitions

The User expressly agrees not to:

• Use the Service to create content infringing public order or morality
• Attempt to circumvent technical protection measures or Service limitations
• Resell, sublicense, or make available to third parties access to the Service
• Use the Service for spam, phishing, or social engineering purposes
• Extract, scrape, or copy data or the Service database
• Interfere with normal Service operation or overload servers

9.2 AI-Specific Prohibitions

Using the Service to generate the following content is STRICTLY PROHIBITED:

• Deepfakes: creation of videos or images representing real persons without their explicit written consent
• Identity theft: content intended to make people believe a real person said or did something they did not say or do
• Harm to reputation: content infringing the honor, reputation, or privacy of identifiable persons
• Counterfeiting: reproduction of logos, trademarks, music, images, or any element protected by third-party intellectual property rights
• Disinformation: creation of false information (fake news) presented as true, particularly in electoral or health contexts
• Fraudulent content: creation of content intended to deceive consumers or facilitate fraud
• Discriminatory content: content inciting hatred, violence, or discrimination
• Child pornography or sexual content involving minors

9.3 Editorial Responsibility

The User assumes full editorial responsibility for Content they generate and distribute. ReelsAI does not perform any prior verification of Generated Content. The User agrees to verify compliance of their Content before any distribution.

9.4 Reporting

Any breach of these rules may be reported to contact@miracetiparis.com. ReelsAI reserves the right to immediately suspend or terminate any Account in case of violation, without notice or refund.

9bis. Transparency and Artificial Intelligence

9bis.1 Information on AI Nature

In accordance with Regulation (EU) 2024/1689 on artificial intelligence (AI Act), the User is informed that the Service uses generative AI systems to produce Content. Results are probabilistic and non-deterministic in nature.

9bis.2 Third-Party AI Providers

Generation features are operated by:

• Replicate, Inc. (United States) - Video and image generation
• Groq, Inc. (United States) - Text generation

9bis.3 AI Technology Limitations

The User acknowledges and accepts the inherent limitations of generative AI technologies:

• HALLUCINATIONS: Models may generate factually incorrect information
• BIAS: Content may reflect biases present in training data
• UNPREDICTABILITY: Results may vary for the same prompt
• NON-ORIGINALITY: Content is not guaranteed to be unique
• THIRD-PARTY RIGHTS: Content may potentially infringe intellectual property rights

9bis.4 Editorial Responsibility

The User assumes full editorial responsibility for Content they generate and distribute. ReelsAI exercises no prior editorial control.

10. Limitation of Liability

10.1 Best Efforts Obligation

ReelsAI is subject to a best efforts obligation and not a results obligation. ReelsAI commits to implementing reasonable means to provide a quality Service.

10.2 "As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". REELSAI DOES NOT GUARANTEE:

• Permanent and uninterrupted Service availability
• Absence of errors, bugs, or defects
• Accuracy or quality of AI-generated Content
• Conformity of Content to User expectations
• Absence of third-party rights violations in Content
• Compatibility with all equipment or software

10.3 Exclusion of Indirect Damages [B2B only]

For Professional Users, ReelsAI shall not be held liable for indirect damages, including:

• Loss of profits, revenue, or opportunities
• Loss of customers or damage to image
• Loss or corruption of data
• Commercial harm of any nature

10.4 Liability Cap [B2B only]

For Professional Users, ReelsAI's total cumulative liability shall not exceed the total amount (excluding VAT) actually paid by the User during the twelve (12) months preceding the triggering event, or 100 euros if no payment has been made.

10.5 Liability towards Consumers

For Consumer Users, clauses 10.3 and 10.4 are not applicable. ReelsAI's liability is governed by the mandatory provisions of consumer law.

10.6 Common Exclusions

ReelsAI shall not be held liable for:

• AI-generated Content and its use
• Errors, biases, or hallucinations of AI models
• Third-party rights violations resulting from Content
• Unavailability of third-party AI services (Replicate, Groq)
• Damages resulting from force majeure

10.7 User Acknowledgment

The User acknowledges having been informed of the probabilistic nature of AI technologies and accepts that Content may contain errors inherent to these technologies.

10bis. User Indemnification

10bis.1 Indemnification Commitment

The User agrees to indemnify and hold harmless ReelsAI against any claim, loss, damage, and expense (including attorney fees) resulting from:

• The User's use of the Service
• Source Content provided by the User
• Generated Content and its use or distribution
• Violation of these ToS
• Violation of third-party rights (intellectual property, image rights, privacy)

10bis.2 Procedure

In case of third-party claim, ReelsAI will inform the User who may take over the defense. The User shall not settle without ReelsAI's written consent.

10bis.3 Survival

This indemnification obligation survives Account termination for a period of five (5) years.

10bis.4 Illegal Content

In case of generation of illegal content (non-consensual deepfakes, child pornography, incitement to hatred), the User shall be solely responsible criminally and civilly.

11. Account Suspension

11.1 Grounds for Suspension

ReelsAI reserves the right to temporarily suspend access to the User's Account, without notice, in the following cases:

• Suspected violation of these ToS pending verification
• Third-party report regarding Content generated by the User
• Abnormal or suspicious activity detected on the Account
• Payment default or rejected payment
• Request from competent authorities

11.2 Effects of Suspension

During suspension, the User can no longer access the Service or generate Content. Current Credits are not extended due to suspension. The Subscription continues to run during the suspension period.

11.3 Dispute

The User may dispute the suspension by sending a reasoned request by email to contact@miracetiparis.com. ReelsAI commits to examining the request within 5 business days and informing the User of its decision.

12. Termination

12.1 Termination by User

The User may terminate their Subscription at any time from their Account settings. Termination takes effect at the end of the current Subscription period. For annual Subscriptions, termination is possible at any time but does not entitle to any refund of amounts already paid.

12.2 Termination by ReelsAI

ReelsAI may terminate the User's Account as of right, without notice or compensation, in case of:

• Serious or repeated violation of these ToS
• Violation of AI usage rules (section 9.2)
• Provision of false information during registration
• Use of the Service for illegal purposes
• Non-payment of Subscription after reminder

12.2bis Termination for Legitimate Reason

ReelsAI also reserves the right to terminate with 30 days notice in case of: permanent discontinuation of the Service, modification of AI provider conditions, regulatory changes making operation impossible.

12.2ter Discretionary Termination [B2B only]

For Professional Users, ReelsAI may terminate without justification with 30 days notice and pro rata refund of the current Subscription.

12.3 Effects of Termination

Termination results in permanent deletion of the Account and associated data within thirty (30) days, subject to legal retention obligations. The User may request a copy of their data before deletion.

12.4 Fate of Credits

In case of termination, regardless of cause or origin, unused Credits are permanently lost and do not give rise to any refund. The User is expressly informed and accepts this.

13. Force Majeure

Neither party shall be held liable for non-performance or delay in performance of any of its obligations if such non-performance results from a force majeure event within the meaning of Article 1218 of the French Civil Code, including but not limited to: natural disasters, pandemics, wars, riots, acts of terrorism, general strikes, major Internet or telecommunications failures, government decisions, major cyberattacks.

The party affected by a force majeure event shall inform the other party as soon as possible. If the force majeure event continues beyond thirty (30) days, either party may terminate the contract without compensation, with the User then entitled to pro rata refund of amounts paid for the unexecuted period.

14. Personal Data

Personal data processing carried out within the scope of the Service is described in our Privacy Policy, accessible at: Privacy Policy

The User is invited to consult this policy to learn about the methods of collection, processing, and retention of their data, as well as the rights they have.

15. ToS Modifications

ReelsAI reserves the right to modify these ToS at any time. Modifications take effect upon publication on the website.

Continued use of the Service after publication of the new ToS constitutes acceptance thereof. The User is invited to regularly consult the ToS in effect on the Site.

16. Contract Assignment

The User may not assign the rights and obligations arising from these ToS to a third party without prior written consent from ReelsAI.

ReelsAI reserves the right to assign these ToS and all rights and obligations arising therefrom to any group company or third party, particularly in case of merger, acquisition, or business transfer. The User will be informed and may terminate their Subscription if they object to such assignment.

17. Severability

If any provision of these ToS is declared null or unenforceable by virtue of any law, regulation, or final court decision, it shall be deemed unwritten, without affecting the validity of the other provisions which shall remain in full force and effect.

18. Entire Agreement

These ToS constitute the entire agreement between the User and ReelsAI regarding use of the Service. They replace and supersede any prior agreement, proposal, or communication, written or oral, relating to the same subject matter.

19. Waiver

ReelsAI's failure to enforce any User breach of any obligation under these ToS shall not be construed as a waiver of the obligation in question nor constitute a modification of the ToS.

20. Consumer Mediation

In accordance with Articles L.611-1 et seq. of the French Consumer Code, the consumer User is informed that they may have recourse free of charge to a consumer mediator for amicable resolution of any dispute with ReelsAI.

Before contacting the mediator, the User must first have sent a written complaint to ReelsAI at contact@miracetiparis.com and not have received a satisfactory response within two (2) months.

21. Applicable Law and Jurisdiction

These ToS are governed by French law.

For professional Users: any dispute relating to the interpretation or performance of these ToS shall be submitted to the exclusive jurisdiction of the Paris courts, notwithstanding plurality of defendants or warranty claims.

For consumer Users: in case of dispute, and after attempt at amicable resolution, the User may bring the matter before the competent courts according to general rules of law.

21bis. Dispute Resolution [B2B only]

21bis.1 Amicable Resolution

Prior to any legal action, the parties agree to attempt amicable resolution of any dispute for 30 days.

21bis.2 Optional Arbitration

For disputes exceeding 10,000 euros, the parties may agree to submit to CMAP arbitration. This clause is optional and requires written agreement.

21bis.3 Waiver of Class Actions

The Professional User waives participation in any class action. Any dispute shall be resolved individually.

22bis. Right to Audit [B2B only]

22bis.1 Purpose

ReelsAI reserves the right to verify the Professional User's compliance with the ToS.

22bis.2 Cooperation

The Professional User agrees to provide requested information within 10 business days.

22bis.3 Consequences

In case of non-cooperation or violation found, ReelsAI may suspend or terminate the Account without notice.

23. Survival of Clauses

The following clauses survive termination: Intellectual Property (section 8), AI Obligations (section 9), Limitation of Liability (section 10), Indemnification (section 10bis), Personal Data (section 14), Applicable Law (section 21).
