ReelsAI is a Software as a Service (SaaS) platform enabling automated content generation (videos, images, texts) through artificial intelligence.

The Service uses third-party artificial intelligence technologies to generate content. These technologies are constantly evolving and their results may vary.

The User acknowledges that AI technologies are experimental in nature and that generated results may contain errors, inaccuracies, or biases inherent to the models used.

6. AI-Generated Content – WARNING

Important warning: Content generated by the Service is produced by artificial intelligence algorithms. The User expressly acknowledges and accepts that:

• Generated content may contain errors, inaccuracies, biases, hallucinations, or outdated information
• ReelsAI does not perform any prior verification of generated content and does not guarantee its accuracy, originality, or fitness for a particular purpose
• AI models cannot guarantee the absence of unintentional reproduction of elements protected by third-party intellectual property rights
• The User is solely responsible for verifying, validating, and using generated content before any distribution or exploitation
• The User assumes full editorial responsibility for content they generate, modify, and distribute
• Generated results may not match the User's expectations despite precise instructions

7. No Warranty – Service Provided 'AS IS'

The Service is provided 'as is' and 'as available', without warranty of any kind, express or implied.

ReelsAI expressly disclaims all warranties, including:

• Any warranty of merchantability or fitness for a particular purpose
• Any warranty of uninterrupted, error-free, or secure Service operation
• Any warranty as to the accuracy, reliability, or completeness of generated content
• Any warranty as to the permanent availability of third-party AI services (Replicate, Groq)
• Any warranty of compatibility with all equipment, browsers, or operating systems

The User uses the Service at their own risk.

8. Limitation of Liability

8.1 Best Efforts Obligation

ReelsAI commits only to a best efforts obligation. Under no circumstances does ReelsAI guarantee any particular result from using the Service.

8.2 Exclusion of Indirect Damages

Under no circumstances shall ReelsAI, its officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, turnover, or business opportunities
• Loss of data, files, or system corruption
• Damage to reputation, image, or goodwill
• Loss of customers or contracts
• Business interruption or loss of earnings
• Cost of acquiring substitute services

8.3 Liability Cap

ReelsAI's total cumulative liability, whatever the cause, shall in no event exceed the greater of: (a) the amounts actually paid by the User during the twelve (12) months preceding the event giving rise to liability, or (b) one hundred (100) euros.

8.4 AI-Specific Exclusions

ReelsAI expressly disclaims any liability for:

• Errors, inaccuracies, biases, or hallucinations in AI-generated content
• Any infringement of third-party intellectual property rights in generated content
• The User's or third parties' use of generated content
• Decisions made based on AI-generated content
• Temporary or permanent unavailability of third-party AI providers

8.5 Essential Nature

The above limitations of liability constitute an essential element of the contract without which ReelsAI would not have agreed to provide the Service at current pricing.

9. Indemnification

The User agrees to indemnify, defend, and hold harmless ReelsAI, its officers, employees, agents, and contractors against any claim, action, lawsuit, damage, loss, liability, cost, and expense (including reasonable attorney fees) arising from or related to:

• The User's use of the Service
• Content generated by the User and its use
• Source Content provided by the User
• Any violation of this Legal Notice or Terms of Service
• Any violation of third-party rights, including intellectual property rights
• Any fraudulent, illegal, or unauthorized use of the Service

This indemnification obligation survives termination of the User's account.

10. Intellectual Property

The entire ReelsAI website and its elements (source code, algorithms, architecture, design, interfaces, databases, trademarks, logos, trade names, texts, graphics, photographs, videos, sounds, technical documentation) are protected by French and international intellectual property rights and are the exclusive property of ReelsAI or its partners.

Any reproduction, representation, modification, publication, adaptation, translation, extraction, commercial exploitation, or reuse of all or part of the site elements, by any means or process whatsoever, is strictly prohibited without prior written authorization from ReelsAI.

The trademarks, logos, and names 'ReelsAI', 'Miraceti' and all other distinctive signs on the site are registered or pending trademarks. Unauthorized reproduction or use constitutes infringement punishable under intellectual property law.

The database structure is protected by the sui generis right of database producers (Articles L.341-1 et seq. of the Intellectual Property Code). Any substantial extraction or reuse is prohibited.

11. Personal Data Protection and AI Processing

ReelsAI is the data controller for your personal data within the meaning of GDPR (EU Regulation 2016/679).

In accordance with the General Data Protection Regulation (GDPR) and Data Protection Act, you have the right to access, rectify, delete, restrict, port, and object to your personal data.

Important warning on AI processing: By using the Service, you expressly consent to your prompts (text instructions) and any reference images being transmitted to our artificial intelligence providers located in the United States (Replicate, Groq) to enable content generation. We recommend not including sensitive personal data in your prompts.

12. International Data Transfers

In providing the Service, your data may be transferred to the following countries:

• United States: Vercel (web hosting), Replicate and Groq (AI services), LemonSqueezy (payments), Resend (emails), Sentry (monitoring), Cloudflare (security)
• Singapore: Supabase (database, authentication, storage)

These transfers are governed by the following mechanisms in accordance with GDPR:

• EU-U.S. Data Privacy Framework (DPF): European Commission adequacy decision of July 10, 2023 for transfers to the United States
• Standard Contractual Clauses (SCC): Commission Implementing Decision (EU) 2021/914 of June 4, 2021

Despite these safeguards, you are informed that third countries may have legislation offering a different level of data protection than the European Union. By using the Service, you accept these transfers and associated residual risks.

13. Third-Party Services

The ReelsAI Service relies on third-party services for its operation, including:

• Replicate, Inc. – AI video and image content generation
• Groq, Inc. – Text generation and prompt optimization
• Supabase, Inc. – Database and authentication
• Vercel, Inc. – Hosting and infrastructure
• LemonSqueezy – Payment processing

ReelsAI has no control over these third-party services and cannot guarantee their availability, performance, or security. Any unavailability or malfunction of these services may impact Service operation.

The User acknowledges that use of these third-party services is subject to their respective terms of use and privacy policies.

14. Service Availability

ReelsAI strives to ensure Service availability 24 hours a day, 7 days a week. However, ReelsAI does not guarantee continuous and uninterrupted Service availability.

The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance operations
• AI algorithm or feature updates
• Technical incidents on our infrastructure or that of our providers
• Internet or network connectivity issues
• Force majeure events

ReelsAI shall not be liable for direct or indirect consequences of temporary Service unavailability.

15. Minimum Age and Capacity

The Service is exclusively reserved for persons aged eighteen (18) years or older with full legal capacity.

By using the Service, the User represents and warrants being at least 18 years old and having legal capacity to contract.

ReelsAI does not knowingly collect data from minors. If we become aware that a minor is using the Service, their account will be immediately suspended and their data deleted.

16. Cookies and Trackers

The ReelsAI website uses cookies and trackers to ensure proper operation and improve user experience.

Cookies used include:

• Essential cookies: necessary for site operation (authentication, security, session preferences)
• Performance cookies: traffic and performance analysis (optional)

You can configure your browser to refuse certain cookies. However, refusing essential cookies may limit access to certain Service features.

The site may contain links to other sites. ReelsAI has no control over these sites and disclaims any responsibility for their content, availability, or data protection practices.

Creating links to the ReelsAI site is authorized, provided they do not harm the company's image and are removed upon simple request.

18. Force Majeure

ReelsAI shall not be liable for non-performance or delay in performing its obligations if such non-performance results from a force majeure event within the meaning of Article 1218 of the French Civil Code.

Force majeure events include: natural disasters, pandemics, wars, riots, acts of terrorism, general strikes, fires, floods, major Internet or telecommunications outages, major cyberattacks, government or regulatory decisions, unavailability of third-party AI providers.

If a force majeure event continues beyond thirty (30) days, either party may terminate the contract without compensation.

19. Modification of Legal Notice

ReelsAI reserves the right to modify this Legal Notice at any time, particularly to adapt to legislative or regulatory changes.

Modifications take effect upon publication on this page. The 'last updated' date at the top indicates the current version.

Continued use of the Service after publication of modifications constitutes acceptance of the modified Legal Notice. Users should regularly review this page.

20. Severability

If any provision of this Legal Notice is declared void or unenforceable under any law, regulation, or final court decision, it shall be deemed unwritten without affecting the validity of other provisions, which shall remain in full force and effect.

21. Applicable Law and Jurisdiction

This Legal Notice is governed exclusively by French law, excluding its conflict of law rules.

For business Users (B2B): Any dispute relating to the interpretation, validity, or performance of this Legal Notice shall be submitted to the exclusive jurisdiction of the Paris courts, notwithstanding multiple defendants or third-party claims.

For consumer Users (B2C): In case of dispute and after attempted amicable resolution, the consumer may bring action before courts having jurisdiction under ordinary rules, or resort to mediation (see section 22).

22. Consumer Mediation

In accordance with Articles L.611-1 et seq. of the Consumer Code, consumer Users may use a consumer mediator free of charge for amicable resolution of any dispute.

Mandatory prerequisite: Before contacting the mediator, the User must have sent a written complaint to ReelsAI at contact@miracetiparis.com and not received a satisfactory response within two (2) months.
